As per section 135 of the Companies Act, 2013 every profitable public and a private limited company is required to spend 2% of net profits before tax on the CSR activities listed in the Schedule VII of the Act and as updated from time to time. Implementing CSR activities among the stakeholders gives in return for their commitment and loyalty to the organization. This indirectly helps in earning more profits. The CSR initiatives are usually carried out within the area of operation of the plant which covers areas like rural development, health, education, women empowerment, environment, water, pollution and social issues. Now, however companies can carry out CSR Projects in any part of the country where there is in need and work on a sustainable basis. Doing third party impact assessment and Calculation of SROI is also mandatory.
CSR is most dynamic sector at the moment with many latest new guidelines being issued by the Ministry of Corporate Affairs, Govt. of India from time to time. The latest being introduction of CSR 1 and CSR 2. CSR 1 is applicable to NGOs and any NGO who would like to work under CSR domain and seek CSR funding must have this number. In addition to this the said NGOs should also have valid registration certificate, audited statement of accounts and proven capabilities of execution of the CSR and social projects in the areas listed in Schedule VII of the Companies Act, 2013. CSR 2 is applicable to companies who do CSR projects. CSR 2 is nothing but filing information and documents on the MCA website every year in the format given. Both CSR 1 and CSR 2 have to be filed online. Printed copies are not required. CSR is becoming more compliance driven and as such timely filing various returns is very important.
Social Stock Exchange and National CSR Exchange Portal will be introduced in India soon. This will help NGOs and Corporate Sector CSR coming together to deliver a change in the social infrastructure in India. With the help of these two portals NGOs will be able to raise funds via issuing Zero return bonds, interest free deposits, debenture, receive gifts and donations from abroad as well as from within India in addition CSR Funds. But it is absolutely essential that the NGOs are compliance driven with disclosure of information on public domain. Social audit is also going to be introduced and made mandatory on CSR projects and the reports thereof will be displayed on public domain.
